About this project

Client Profile

Himal Next is Nepal's most advanced forex education platform, teaching the Institutional Footprint Trading framework to Nepali traders. The brand operates ten courses and programs across live sessions, recorded programs, and proprietary TradingView indicators, and is led by SHIV, a PhD in Management with over two decades of financial markets experience, an entrepreneur behind investment consulting and algo-trading ventures in Dubai, and the developer of the SHIV, SHAKTI, and KESHAV indicator systems.

When Himal Next decided to establish its operating base in Kathmandu, the client held one decisive advantage that most foreign founders do not: Indian nationality. Article 7 of the India-Nepal Treaty of Peace and Friendship 1950 grants the nationals of each country the same rights as nationals of the other in matters of residence, property, trade, and commerce. That treaty right opened a registration route entirely separate from the FDI system.

The Challenge

The client's position combined three complications, each of which the treaty route dissolved.

First, the FDI route was the wrong tool. Entering Nepal through FITTA approval meant staged approvals, capital thresholds, injection schedules, NRB recording, and sector questions around education-adjacent activity. For an Indian founder, none of that was legally necessary, because treaty national treatment provides a more direct path.

Second, speed to market. Himal Next's course calendar, mentorship cohorts, and indicator launches ran on a fixed commercial timeline. The treaty-based domestic registration could be completed in weeks; the FDI cycle would have consumed months.

Third, clean domestic operation. The client needed a Nepalese entity that could collect revenues lawfully, employ local staff, contract with Nepali students, and pass any bank, platform, or partner due diligence, without carrying an FDI compliance burden it never needed.

Our Solution: Treaty-Based Registration Without FDI

CorporateNP structured the engagement around Article 7 of the Treaty of Peace and Friendship 1950. As an Indian national, the founder holds national treatment rights in Nepal covering trade and commerce, which allowed the business to be registered through the standard domestic route at the Office of Company Registrar, without FITTA approval, without foreign investment injection schedules, and without NRB capital recording. The company was formed with treaty-based eligibility documented in the file, so every later registration, banking, and contracting step proceeded on a clean domestic basis.

The entity was built for the client's actual operations. The Memorandum of Association carried objectives covering financial education, training, mentorship, digital content, and related technology services, and the constitutional documents were drafted to satisfy the OCR's examination, the banks' onboarding, and the platforms the client would operate through, in a single pass.

Services Delivered

Service Detail Treaty eligibility structuring Article 7 national treatment documented for the Indian founder Company registration at OCR Domestic private limited company, education and technology objectives MOA and AOA drafting Broad objectives covering courses, mentorship, indicators, digital sales PAN registration Free, completed within days through the IRD VAT registration Timed to the client's revenue model Banking liaison Corporate account opened against the complete registration file Compliance calendar Annual returns, renewals, and filings handed over with the file

The Outcome

Himal Next operates from Kathmandu today as a fully registered Nepalese business under the treaty's national treatment framework. The platform runs its complete course catalog from the local entity, its proprietary indicators reach Nepali traders through domestic contracts and payments, and its mentorship programs rest on a compliance base that survives any bank, platform, or partner due diligence. Registration was completed on the client's commercial timeline rather than the FDI approval system's, and the annual compliance cycle is managed so the entity stays current while the brand grows.

What This Engagement Demonstrates

Indian founders hold a treaty advantage in Nepal. Article 7 of the 1950 treaty grants national treatment in trade and commerce, and a properly documented treaty-based registration delivers a Nepalese entity without the entire FDI apparatus.

The treaty route must still be structured correctly. Eligibility must be documented, the constitution written for the real business model, and every downstream registration aligned, or the treaty advantage dissolves in the practical steps.

Speed and compliance are compatible. The entity was built to be examined, by banks, platforms, and partners, from its first day.

Client Snapshot

"Trade Like Institutions. Think Like the Market."

Himal Next brought institutional-grade trading education to Nepal and needed a registration partner who understood that an Indian founder's fastest, cleanest route runs through the treaty, not through FDI. CorporateNP delivered the operating entity on schedule and handed over a compliance-ready file.
